Business Litigation

The Business Litigation practice at Sowell Gray provides counsel in all areas of business disputes. Our attorneys litigate cases involving class actions, lender liability, premium fraud, corporate governance, business transactions, development enterprises, sophisticated contracts, corporate takeovers (both offensive and defensive activity), breach of fiduciary duty, securities transactions, proxy rules, financial fraud, directors’ liability and derivative actions. Over the years, the firm attorneys have obtained considerable experience in diverse areas under the business litigation umbrella. Some of these areas are described in more detail below.

Insurance Coverage

Advising and representing insurance and reinsurance companies in class actions, breach of contract, bad faith and coverage disputes, Sowell Gray attorneys deal extensively with issues of policy coverage, interpretation, exclusions, and errors and omissions. The firm handles matters dealing with broad-base policies, such as umbrella coverage and comprehensive general liability with more specific coverage areas including homeowners and automobile, directors and officers, professional liability, and environmental impairment.

Lender Liability

The firm has defended numerous lenders in cases in which borrowers have sought to be relieved of their obligations under loan documents and to obtain substantial economic compensation for alleged violations by lenders of their duties. Members of the firm have also lectured extensively to the bar and to the business community on these issues.

Real Estate

Commercial real estate transactions can be very complicated to put together and are even more complicated to litigate if the parties have disputes. The firm’s lawyers understand the structure of sophisticated real estate and financing transactions, and know how to approach litigation among the many parties thereto. The firm’s lawyers have considerable experience in such cases, and understand where to find important documents and how to use them in court.

Title Insurance

The firm regularly represents one of the national title insurance companies, and does work for others as well. The firm’s lawyers understand title issues and how to resolve them. Sowell Gray attorneys have brought and defended quiet title actions involving generations of heirs and cases involving access issues, encroachments, unrecorded instruments, and betterments.
